These Terms and Conditions govern all Works undertaken by Bridge Heating & Gas Services Ltd (“the Company”, “we”, “us”) for any commercial Client (“you”). By accepting a Quotation, issuing a purchase order, or instructing the Company to proceed with any Works, the Client is deemed to have accepted these Terms in full. In the event of any conflict between these Terms and any terms contained in a Client purchase order, specification, or other document, these Terms shall prevail unless specifically varied in writing and signed by an authorised representative of the Company.

1.  Definitions and Interpretation

1.1  “Company” means Bridge Heating & Gas Services Ltd (Company Reg. 06970484, VAT Reg. GB 981 4784 77), trading address 2 Acacia Drive, Upminster, Essex, RM14 2LJ, registered office Suite 17, Essex House, Station Road, Upminster, Essex, RM14 2SJ.

1.2  “Client” means the commercial entity (person, firm, company, or other organisation acting in the course of a business or trade) who requests the Company to carry out Works and/or supply Materials.

1.3  “Works” means any services, inspection, installation, servicing, commissioning, fault-finding, repair, or reporting carried out by the Company, including any minor design work directly related to the Works (such as pipe sizing, appliance specification, or flue routing) but excluding whole-system design as defined in clause 3.2.

1.4  “Materials” means any goods, parts, plant, equipment, or components supplied by the Company as part of the Works.

1.5  “Equipment” means boilers, burners, water heaters, pipework, flues, controls, BMS interfaces, and associated systems located at the Site.

1.6  “Quotation” means any written estimate, proposal, or price submitted by the Company to the Client.

1.7  “Contract” means the agreement between the Company and the Client comprising the Quotation, these Terms, and any written variations agreed by both parties.

1.8  “Site” means the premises where the Works are to be carried out.

1.9  “GIUSP” means the Gas Industry Unsafe Situations Procedure published by Gas Safe Register.

2.  Contract Formation and Quotations

2.1  All Quotations are valid for 30 days from the date of issue unless otherwise stated, and are subject to survey, site access, and availability of Materials.

2.2  Quotations are based on information provided by the Client and a visual inspection where possible. The Company reserves the right to amend the Quotation if site conditions differ materially from those assumed, or if additional Works are identified as necessary for safe completion.

2.3  A binding Contract is formed when the Client accepts the Quotation in writing (by email, signed order, or purchase order) or instructs the Company to proceed.

2.4  Verbal instructions will be acted upon at the Client’s risk and the Company’s discretion, and will be confirmed in writing where possible.

2.5  These Terms apply to all Works and override any Client terms unless expressly agreed in writing and signed by an authorised representative of the Company.

3.  Scope of Works

3.1  The Works to be undertaken are those expressly described in the Quotation, the relevant Service Agreement, or written instructions issued by the Client and accepted by the Company. Any work not so listed is not included.

3.2  The following are expressly excluded unless specifically stated otherwise in writing:

  • Whole-system design, redesign, energy modelling, or specification of overall system performance (minor design work directly related to the Works, such as pipe sizing, appliance specification or flue routing, is included where part of the Quotation)
  • BMS strategy, programming, or optimisation
  • Electrical controls beyond the basic gas/heating interface
  • Third-party installed equipment, including faults arising from such equipment
  • Structural or builder’s works of any kind
  • Remedying pre-existing defects or non-compliances outside the Quotation

3.3  Where the Client has provided specifications, drawings, or instructions from a third party, the Company’s obligation is to execute the Works in accordance with those instructions and recognised engineering standards. The Company accepts no liability for deficiencies in third-party designs.

3.4  Any work falling outside the agreed scope will be quoted separately under clause 4 (Variations), or charged at the Company’s prevailing rates if undertaken under the Client’s instruction.

4.  Variations and Additional Works

4.1  Any variation to the Works must be agreed in writing between the Client and the Company before commencement. Verbal variations will be confirmed in writing where possible.

4.2  Variations will be priced at the Company’s prevailing rates for the type of work involved, unless an alternative rate is agreed in writing.

4.3  Additional Works carried out without prior written agreement, where reasonably necessary for safe completion or compliance, will be chargeable at the Company’s prevailing rates.

4.4  Where cumulative variations exceed 20% of the original Contract value, either party may request a renegotiation of the Contract pricing or scope.

5.  Service Agreements

5.1  Where the Client has entered into a Service Agreement with the Company, that Agreement defines the servicing frequency, response priority, and Equipment included.

5.2  Unless expressly included in the Service Agreement schedule, the following are excluded:

  • Full system replacement
  • Major plant upgrades
  • Replacement of obsolete equipment
  • BMS faults, programming, or optimisation
  • Works arising from misuse, neglect, or third-party interference

5.3  A Service Agreement is a contract for services only and does not constitute a contract of insurance.

5.4  The Company reserves the right to:

  • Refuse inclusion of Equipment that is unsafe, obsolete, or poorly maintained
  • Require remedial Works to be carried out before accepting Equipment under a Service Agreement
  • Exclude any Equipment that the Company reasonably considers cannot be maintained to a safe standard

6.  Attendance and Response Times

6.1  All response times stated in any Quotation, Service Agreement, or marketing material are targets only and are not guaranteed.

6.2  Priority categories are interpreted as follows:

  • Emergency: gas escape or any installation classified Immediately Dangerous under GIUSP
  • Urgent: total loss of heating or hot water at the Site
  • Routine: non-critical faults, scheduled servicing, or planned visits

6.3  The Company is not liable for delays caused by:

  • Workload demand
  • Access restrictions
  • Parts availability
  • Weather, traffic, or other external factors beyond the Company’s reasonable control

6.4  While response times are targets only, the Company’s typical aim is:

  • Emergency / Immediately Dangerous: same working day where reasonably practicable
  • Urgent (total loss of heating or hot water): same working day where practicable, or within 24 hours, subject to engineer availability
  • Routine: as scheduled

6.5  Service Agreement clients receive priority response over non-contract Clients.

7.  Client Responsibilities

7.1  The Client shall provide safe and unobstructed access to all Equipment, working areas, and Site facilities reasonably required for the Works.

7.2  The Client shall comply with all site-specific requirements applicable to the Works, including security passes, induction procedures, permit-to-work systems, working hours, and safeguarding policies (where the Site is a school, care home, or similar).

7.3  The Client shall provide adequate lighting, working space, welfare facilities where appropriate, and any system drawings, service records, or fault history reasonably available.

7.4  The Client shall ensure that systems being worked on are operationally accessible, filled, vented, and isolated as required.

7.5  The Client shall inform the Company in advance of any known faults, previous issues, or third-party works that may affect the Works.

7.6  Failure by the Client to comply with this clause may result in aborted visits, delays, or additional Works, all of which will be chargeable under clause 11.

8.  Gas Safety Authority

8.1  All Works will be carried out in accordance with the Gas Industry Unsafe Situations Procedure (GIUSP) and applicable Gas Safe Register requirements.

8.2  The Company has authority to:

  • Classify gas installations and appliances under GIUSP
  • Issue Gas Warning Notices and apply a safety classification of At Risk (AR) or Immediately Dangerous (ID), or record an item as Not to Current Standards (NCS)
  • Make safe an unsafe installation or appliance (which may include isolation, disconnection, capping, or removal of an appliance from service) with the permission of the Client or other responsible person

8.3  Where the Company classifies an installation as Immediately Dangerous and the Client or responsible person does not grant permission to make safe, the Company will issue a written Gas Warning Notice, inform the Client or responsible person of the risks, and notify the gas transporter (e.g. Cadent, SGN) under the GIUSP escalation procedure where appropriate. The gas transporter holds statutory authority to act.

8.4  Classifications under GIUSP are final and cannot be overridden by the Client. The Company’s engineers will not reverse a safety classification under instruction from the Client.

8.5  The Company accepts no liability for:

  • Business disruption arising from safety actions taken under this clause
  • Loss of service or interruption to Site operations resulting from a GIUSP classification or any subsequent transporter intervention
  • Costs of remedial works needed to bring an installation into compliance

9.  Plant, Controls and System Responsibility

9.1  The Company is responsible only for the specific Equipment directly worked on under the Quotation or Service Agreement.

9.2  The Company is not responsible for:

  • Building Management Systems (BMS), control strategies, or optimisation
  • Sequencing, modulation, or balancing of multiple boilers or appliances
  • Third-party wiring, controls, or interface devices
  • Whole-system design or system performance considered as a whole

9.3  Where faults arise from the interaction between the Company’s Works and other systems on Site, responsibility for diagnosis and remediation is excluded unless explicitly agreed in writing.

9.4  Any advice, opinion, or recommendation provided by the Company outside a written quotation, report, or formal specification is given in good faith based on information available at the time and on visual observation. Such informal advice does not constitute a professional opinion, design specification, or guarantee of system performance, and the Client should not rely on it as a basis for material commercial decisions without obtaining a separate written quotation or specification.

10.  Parts, Materials and Obsolescence

10.1  All Materials are subject to availability and manufacturer supply at the time of order.

10.2  Where Equipment is found to be:

  • Obsolete
  • Unsupported by the manufacturer
  • Beyond economical repair

the Company will recommend replacement and provide a separate Quotation.

10.3  The Company is not liable for:

  • Delays caused by parts availability
  • Inability to repair obsolete or unsupported systems
  • The cost of bringing obsolete systems into compliance with current regulations

10.4  Title to Materials supplied by the Company shall not pass to the Client until the Company has received payment in full. Until that point, the Materials remain the property of the Company, which shall have the right to enter the Site to recover unpaid Materials, subject to giving reasonable notice.

10.5  Materials supplied by the Client are excluded from the Company’s warranty and liability under these Terms. The Company accepts no responsibility for the suitability, condition, or performance of Client-supplied Materials.

11.  Access, Delays and Abortive Visits

11.1  If access to the Site or Equipment is not available at the agreed time, the visit will be chargeable in full.

11.2  Additional visits caused by:

  • Restricted or denied access
  • Site delays caused by the Client or third parties
  • Client scheduling changes within 24 hours of the agreed visit

will be chargeable at the Company’s prevailing rates.

12.  Price, Payment and Late Payment

12.1  Payment terms are strictly 30 days from the date of invoice unless otherwise agreed in writing. All invoices and payment queries should be directed to info@bridgeheatingandgas.co.uk.

12.2  All prices quoted are exclusive of VAT, which will be charged at the prevailing rate.

12.3  Where the Client fails to pay any sum on the due date, the Company reserves the right to charge statutory late payment interest at 8% above the Bank of England base rate, together with a fixed sum recovery payment and reasonable debt recovery costs, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998 (as amended).

12.4  The Company may, at its discretion, suspend further or future Works, withhold further attendance, or terminate the Contract for non-payment of any overdue invoice.

12.5  No retention shall apply to any invoice unless agreed in writing in advance of the Works.

12.6  Works are charged at agreed Contract rates or, where not agreed, at the Company’s standard commercial rates current at the date of the Works.

13.  Gas Safe Certificate and Documentation Release

13.1  Gas Safe certificates, service reports, and compliance documentation will be issued in the normal course of the Works on completion of each visit, regardless of payment status of the underlying invoice. The Company operates a trust-based approach to certificate release.

13.2  The Company reserves the right to suspend the booking of further or future Works for any Client with outstanding overdue invoices, but will not withhold compliance documentation in respect of Works already completed.

14.  Workmanship Warranty

14.1  The Company warrants the workmanship of its Works for a period of 12 months from the date of completion.

14.2  Materials supplied by the Company carry the manufacturer’s warranty only. The Company is not the manufacturer and provides no warranty on Materials beyond what the manufacturer offers.

14.3  The workmanship warranty does not cover:

  • Fair wear and tear
  • Misuse, neglect, or operation outside the manufacturer’s instructions
  • Lack of routine servicing or maintenance
  • Third-party interference, modification, or unauthorised work
  • Damage caused by power surges, water leaks, or other external events
  • Consequential or indirect losses arising from any defect

14.4  Warranty claims must be notified to the Company in writing within a reasonable time of the defect appearing, and in any event before expiry of the warranty period. The Company’s liability under this warranty is limited to repair or, at the Company’s option, re-performance of the relevant Works.

15.  Liability and Liability Cap

15.1  Subject to clauses 15.2 and 15.4 below, the Company’s total aggregate liability arising out of or in connection with the Contract, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall be limited to the greater of:

  (a)  the total value of the Works under the Contract; or

  (b)  £10,000.

15.2  The Company shall under no circumstances be liable to the Client for any:

  • Loss of profit, revenue, or business
  • Loss of contracts, opportunity, or anticipated savings
  • Business interruption or loss of trading
  • Loss of goodwill or reputation
  • Indirect, consequential, or special losses of any kind

arising out of or in connection with the Contract, whether or not such loss was foreseeable.

15.3  The Company is not responsible for system downtime, loss of heating, loss of hot water, or interruption of services to the Site beyond the scope of the immediate Works being undertaken.

15.4  Nothing in these Terms shall limit or exclude the Company’s liability for:

  • Death or personal injury caused by its negligence
  • Fraud or fraudulent misrepresentation
  • Any other liability which cannot be limited or excluded by law

16.  Insurance

16.1  The Company maintains the following insurances throughout the term of any Contract: Employers’ Liability and Public Liability. Certificates are available on request.

16.2  Where the Company engages subcontractors under clause 17, those subcontractors will be required to hold their own appropriate insurances, including Employers’ Liability of not less than £10 million, Public Liability of not less than £10 million, and (where the Works involve design or advisory services) Professional Indemnity cover at a level appropriate to the Works.

17.  Subcontractors and Non-Solicitation

17.1  The Company may engage qualified and competent subcontractors to carry out part or all of the Works. All subcontractors will hold appropriate Gas Safe registration, insurances, and competencies.

17.2  The Company remains responsible to the Client for the workmanship of any subcontractor engaged by the Company.

17.3  The Client shall not, during the term of any Contract or for a period of 12 months following its termination, directly or indirectly engage, solicit, employ, or contract with any subcontractor introduced to the Client by the Company in connection with the Works, without the Company’s prior written consent.

17.4  Clause 17.3 does not apply where the Client had a documented pre-existing direct contractual relationship with the subcontractor before the Company’s introduction.

17.5  The Company shall determine the method, allocation, and scheduling of labour for the Works. The Client shall not direct, instruct, or contract with any individual engineer or subcontractor of the Company without the Company’s prior written consent.

18.  Termination and Insolvency

18.1  The Company may terminate the Contract immediately on written notice if:

  • The Client breaches any payment terms and fails to remedy the breach within 14 days of written notice
  • Unsafe conditions at the Site cannot be reasonably remedied
  • Access is repeatedly denied or significantly obstructed
  • The Client materially breaches any other provision of the Contract

18.2  Either party may terminate the Contract immediately on written notice if the other party becomes insolvent, enters administration, has a receiver appointed, ceases or threatens to cease trading, or is unable to pay its debts as they fall due.

18.3  Where the Client becomes insolvent, the Company’s rights to suspend or terminate Works, and to claim payment for Works already carried out, shall apply notwithstanding any provision in the Housing Grants, Construction and Regeneration Act 1996 (including section 113), and the Company shall be entitled to pursue payment for Works completed up to the date of termination.

18.4  On termination for any reason, the Client remains liable for all Works completed up to the date of termination and any Materials properly ordered by the Company that cannot be returned for credit.

19.  Health and Safety

19.1  The Company will carry out the Works in accordance with the Health and Safety at Work etc. Act 1974, the Construction (Design and Management) Regulations 2015 where applicable, and all other relevant statutory provisions.

19.2  The Client, as the controller of the Site, shall comply with its duties under the Health and Safety at Work etc. Act 1974 and provide a safe working environment for the Company’s engineers and any subcontractors engaged by the Company.

19.3  The Company reserves the right to refuse or suspend any Works where the Site presents an unacceptable risk to health and safety, and to leave Site without penalty where such risks cannot be reasonably mitigated.

20.  Confidentiality and Data Protection

20.1  Each party shall keep confidential all information of a confidential nature received from the other party in connection with the Contract, and shall not disclose such information to any third party except where required by law or with the other party’s prior written consent.

20.2  The Company processes personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. Details of how the Company collects, uses, and stores personal data are set out in the Company’s Privacy Policy, available at bridgeheatingandgas.co.uk/privacy-policy.

20.3  The Client shall not use the Company’s pricing, methods, or trade information for any purpose other than the Works without the Company’s written consent.

21.  Force Majeure

21.1  Neither party shall be liable for failure to perform any obligation under the Contract where such failure is caused by events beyond reasonable control, including but not limited to:

  • Acts of God, fire, flood, or extreme weather
  • Strikes, industrial disputes, or labour shortages
  • Supply chain disruption, manufacturer failure, or transport delays
  • Pandemic, epidemic, or government-imposed restrictions
  • Acts of war, terrorism, or civil unrest

21.2  The party affected shall notify the other party in writing as soon as reasonably practicable of the force majeure event and its expected duration.

21.3  Where the force majeure event continues for more than 60 days, either party may terminate the Contract by giving written notice, without further liability except for Works completed up to the date of termination.

22.  Governing Law and Jurisdiction

22.1  These Terms and any Contract formed under them are governed by the laws of England and Wales.

22.2  The parties submit to the exclusive jurisdiction of the courts of England and Wales for the resolution of any dispute arising out of or in connection with the Contract.

23.  Entire Agreement and Precedence

23.1  These Terms, together with the Quotation and any agreed written variations, constitute the entire agreement between the parties and supersede any prior representations, understandings, or arrangements, whether written or oral.

23.2  In the event of any conflict between these Terms and any terms contained in a Client purchase order, specification, or other document, these Terms shall prevail unless specifically varied in writing and signed by an authorised representative of the Company.

23.3  No variation of these Terms shall be effective unless made in writing and signed by both parties.

24.  Consumer Rights and Statutory Protection

24.1  These Terms are drafted for commercial Clients acting in the course of a business or trade. The Company does not generally undertake domestic work.

24.2  Where, exceptionally, the Client is a consumer within the meaning of the Consumer Rights Act 2015, these Terms apply only to the extent permitted by that Act and any other applicable consumer protection legislation. Any term of these Terms that conflicts with the consumer’s statutory rights shall be deemed modified to the minimum extent necessary to comply with those rights, and the remainder of these Terms shall continue in full force and effect.

24.3  Nothing in these Terms shall affect the consumer’s statutory rights under the Consumer Rights Act 2015, the Sale of Goods Act 1979, the Supply of Goods and Services Act 1982, or any other consumer protection legislation in force at the relevant time.
